Terms of Service

1. Eligibility

You must be at least eighteen (18) years of age and legally capable of entering into binding contracts to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Service Description

DuoSpend is a budgeting platform designed to enable Users to:

• Track personal and household expenses
• Upload financial transaction data via CSV, OFX or QFX
• Categorize payees
• View analytics and dashboards
• Share a Household with up to five (5) Users for collaborative budget tracking

Account registration, including the submission of your name and email address, is required to access the Service.

3. Subscription Terms

3.1 Free Trial

Upon initial registration, you may access the Service through a free trial for a limited period as specified during sign-up.

3.2 Billing and Payment

Continued access to the Service after the trial period requires a paid subscription, which is billed via Stripe on a monthly or annual basis, as selected by the User.

3.3 Cancellation

You may cancel your subscription at any time. Service will remain available until the end of the current billing cycle. Renewal notifications will be sent no less than seven (7) days before your next billing date.

3.4 Refunds

We do not offer refunds, but reserve the right to grant refunds on a case-by-case basis, at our sole discretion.

4. User Content and Data

4.1 Ownership

You retain ownership of all content, data, and materials uploaded to the Service, including financial transactions and categorization.

4.2 License

You grant us a non-exclusive, royalty-free, worldwide license to use anonymized and aggregated category data to improve the functionality and performance of the Service.

4.3 Data Retention

In the event of account deletion, we will remove your data from our systems within thirty (30) calendar days.

5. Acceptable Use Policy

You agree not to use the Service to:

• Violate any applicable local, national, or international law or regulation
• Upload harmful, defamatory, fraudulent, or misleading content
• Circumvent security or authentication measures
• Interfere with, disrupt, or degrade the integrity or performance of the Service
• Impersonate any individual or entity

We reserve the right to suspend or terminate accounts that violate these Terms.

6. Disclaimers

The Service is provided on an "AS IS" and "AS AVAILABLE" basis for informational purposes only. It does not constitute financial, investment, legal, or tax advice.

To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.

7. Limitation of Liability

To the fullest extent permitted by law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or related to your use of the Service.

Our total liability under these Terms shall not exceed the amount paid by you to us in the three (3) months preceding the claim, or one hundred Canadian dollars (CAD $100), whichever is less.

8. Modifications to the Terms

We may modify these Terms from time to time. We will notify Users of material changes via email. Continued use of the Service after the effective date of changes constitutes acceptance of the modified Terms.

9. Termination

You may terminate your account at any time. We reserve the right to suspend or terminate your access to the Service if you breach these Terms.

10. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. Any dispute shall be resolved exclusively in the courts of British Columbia.
